Terms of Service

Welcome to SendCopy.ai ("SendCopy," "the Service," or "Platform"), operated by Cloud Spike Cloud Service LLC ("we," "us," "our," or "Company"), a limited liability company organized under the laws of the United Arab Emirates, with its principal office at Office M1-228, Al Gurg Building (Karama), Dubai, United Arab Emirates. SendCopy is an AI-powered software-as-a-service (SaaS) platform designed to help professionals, teams, agencies, and businesses scale LinkedIn outreach through intelligent automation, lead generation, and performance optimization. Key features include AI-driven sequence building, safe sender rotation across multiple LinkedIn profiles (Sender Seats), advanced lead finding and import, unified inbox management (LinkBox), all LinkedIn actions (connections, messages, follow-ups), real-time analytics, and seamless integrations—all engineered for compliance with LinkedIn's rules and data protection standards. These Terms of Service ("Terms") govern your access to and use of the Service, including the website at sendcopy.ai (the "Site"), any associated mobile applications, APIs, integrations, and all related content, features, and services (collectively, the "Service"). By registering for an account, clicking "I Agree," or otherwise accessing or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, Acceptable Use Policy ("AUP"), Fulfillment Policy and any other applicable policies or guidelines referenced herein (collectively, the "Agreement"). If you are entering into this Agreement on behalf of a company, organization, or other legal entity, you represent that you have the authority to bind such entity to these Terms. If you do not agree with any part of the Agreement, you must not access or use the Service. The Service is intended for users who are at least 18 years old or the age of majority in their jurisdiction. We reserve the right to refuse access to anyone at our sole discretion. We may update these Terms from time to time to reflect changes in our practices, technology, legal requirements, or Service features. The updated Terms will be posted on the Site with a revised effective date. For material changes, we will provide at least 30 days' notice via email to your registered address or prominent in-app/Service notification. Your continued use of the Service after such changes constitutes acceptance. It is your responsibility to review the Terms periodically.

Definitions

"User" or "you" means the individual or entity accessing or using the Service.
"LinkedIn Account" or "Sender Seat" means a verified LinkedIn profile connected to the Service for outreach automation.
"User Content" means any content you upload, input, or generate through the Service, including outreach sequences, message templates, lead data, campaign settings, and analytics reports.
"Subscription" means a paid or trial plan granting access to the Service features, including a specified number of Sender Seats.
"Term" means the duration of your Subscription, as specified during signup.

2. Description of the Service

Subject to your compliance with the Agreement, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service during the Term for your internal business purposes. The Service enables scalable LinkedIn outreach, including: AI-powered sequence creation and automation for connections, messages, and follow-ups. Safe rotation across multiple Sender Seats to enhance deliverability and avoid restrictions. Lead finding, import, enrichment, and organization. Unified inbox (LinkBox) for managing conversations across profiles. Real-time analytics, performance insights, and AI recommendations. Support for proxies (in eligible plans) and integrations with CRMs or other tools. Each Subscription plan includes a base number of Sender Seats (e.g., 1 for Growth, 10 for HyperGrowth, 50 for Agency), with options to add more for scalability. The Service is provided "as is" and "as available." We may enhance, modify, suspend, or discontinue features at any time without liability, provided we give reasonable notice for material changes. You are responsible for maintaining compatible hardware, software, internet access, and compliance with LinkedIn's User Agreement, Professional Community Policies, and API Terms (collectively, "LinkedIn Rules"). We do not provide LinkedIn accounts, messaging services, or guarantees of LinkedIn approval or results. All LinkedIn interactions remain subject to LinkedIn Rules, and you bear responsibility for your campaigns.

3. User Accounts and Security

3.1 Registration

To use the Service, you must create an account by providing accurate, complete, and current information (e.g., name, email, company details). You agree to update this information promptly. Accounts are for individual, team, or agency use; higher-tier plans (e.g., HyperGrowth, Agency) support multiple workspaces and team members, with each requiring appropriate licensing.

3.2 LinkedIn Connection

You may connect multiple LinkedIn Accounts (as Sender Seats) to the Service, up to the number included in your Subscription plan or purchased as add-ons. Connections enable features like sender rotation, multi-profile campaigns, and unified management. All connections are made via secure OAuth authorization flows—we do not store or access your LinkedIn login credentials. You must ensure all connected LinkedIn Accounts are owned or authorized by you, comply with LinkedIn Rules, and are not shared, fake, or used deceptively. Exceeding your plan's Sender Seat limits without purchasing add-ons may result in throttling or suspension until resolved.

3.3 Security Responsibilities

You are solely responsible for maintaining the confidentiality of your account credentials, API tokens, and access to connected LinkedIn Accounts. Notify us immediately at support@sendcopy.ai of any unauthorized use or security breach. You must implement reasonable security measures (e.g., strong passwords, multi-factor authentication) and comply with our AUP. We are not liable for losses due to compromised accounts or profiles.

3.4 Account Inactivity and Reconnection

To help safeguard your LinkedIn Accounts and maintain the security of connected integrations, if your SendCopy account remains inactive (no logins or meaningful activity) for a period of 35 consecutive days or longer, we may require you to reauthorize and reconnect your LinkedIn Sender Seats. This step is a standard security precaution to verify continued authorization, protect against potential unauthorized access, and ensure compliance with LinkedIn's authentication and token policies. We will notify you in advance if reconnection is needed. This does not affect your Subscription status or billing unless otherwise specified.

3.5 Account Termination by User

You may close your account anytime via settings. Upon closure, access ends at the current billing cycle's conclusion, and we will delete your data per our Privacy Policy (subject to legal retention). Disconnected LinkedIn Accounts will have access revoked immediately.

4. User Content and Conduct

4.1 Ownership and License

You retain all right, title, and interest in your User Content. By submitting User Content, you grant us a worldwide, royalty-free, perpetual, irrevocable, non-exclusive license to use, host, store, reproduce, modify, create derivative works, distribute, publish, and display it solely to provide, maintain, and improve the Service (e.g., for AI training on anonymized aggregates). We may use anonymized User Content for analytics, research, and marketing (with attribution if requested). You represent and warrant that your User Content: (i) does not violate any laws, third-party rights (e.g., IP, privacy), or LinkedIn Rules; (ii) is not harmful, defamatory, or obscene; and (iii) you have necessary consents/permissions for any personal data included, including from connected LinkedIn profiles.

4.2 Prohibited Conduct

You agree not to (and not to permit others to):

Violate the AUP, any laws, or LinkedIn Rules (e.g., no spam, scraping, fake profiles, or excessive automation beyond safe limits).
Use the Service for illegal, fraudulent, or abusive purposes (e.g., harassment, phishing).
Interfere with the Service (e.g., viruses, reverse engineering, unauthorized access).
Exceed Subscription limits without purchasing add-ons (e.g., Sender Seats, overages).
Collect or process data without a lawful basis or beyond authorized scopes.

We may review User Content for compliance but have no obligation to monitor. Violations may lead to content removal, account suspension, or termination without notice.

5. LinkedIn Integration and Third-Party Services

The Service integrates with LinkedIn via official APIs to facilitate authorized actions across multiple Sender Seats. You must: Comply fully with LinkedIn Rules; we provide built-in safeguards (e.g., rotation, limits) but do not endorse or guarantee compatibility or immunity from restrictions. Use features responsibly to minimize risks like "LinkedIn jail"—all consequences of account suspensions, data loss, or bans are yours alone. Revoke access for any Sender Seat anytime via LinkedIn settings; we will cease data access immediately. We are not responsible for LinkedIn's actions, changes, or downtime. The Service may integrate with other third-party services (e.g., CRMs, proxies); you are responsible for their terms and consents. We disclaim liability for third-party failures.

6. Payments, Billing, Subscriptions, Cancellations, and Refunds

6.1 Subscriptions

Access to the Service requires a Subscription (free trials may be available in limited cases). Plans are offered on a monthly or annual basis and auto-renew at the end of each billing cycle unless properly canceled. Each plan includes a specific number of Sender Seats and features (e.g., Growth: 1 Sender Seat; HyperGrowth: 10 Sender Seats; Agency: 50 Sender Seats). Additional Sender Seats, workspaces, proxies, or premium features are available as add-ons. All fees are quoted exclusive of applicable taxes, duties, or surcharges, which are your responsibility.

6.2 Billing and Payment

We use secure third-party payment processors (e.g., Stripe) to handle transactions. You authorize us to charge your selected payment method on file for all applicable fees, including recurring Subscription charges, add-ons, and taxes. Billing occurs in advance on a recurring basis (monthly or annually) on the date of initial purchase and each subsequent renewal date. For changes to your plan (e.g., adding Sender Seats), we may charge a prorated amount immediately for the remainder of the current billing cycle. You are responsible for keeping your payment information current and valid.

6.3 Price Changes

We reserve the right to modify our pricing at any time. Any price changes will take effect at the start of your next billing cycle after at least 30 days' notice (via email or in-app notification). If you do not agree to the new pricing, you may cancel your Subscription before the change takes effect.

6.4 Cancellations

You may cancel your Subscription at any time through your account settings or by contacting support@sendcopy.ai. Cancellation takes effect at the end of your current paid billing cycle (no mid-cycle termination unless required by law). Upon cancellation: Access to the Service continues until the end of the current billing period. No further charges will be applied after the current cycle. Any unused add-ons, Sender Seats, or features will not carry over. We do not provide refunds or credits for partial months or unused portions of prepaid annual Subscriptions (except as required by applicable law).

6.5 Refunds and Refund Policy

All payments are non-refundable, except in the limited circumstances described below or as required by applicable law. No general refunds or money-back guarantees are offered for Subscriptions, add-ons, or any fees paid. Fees paid for access to the Service, including for any period during which you used the Service, are non-refundable, regardless of whether you actively used the features or achieved desired results. No prorated refunds for downgrades, cancellations, or removal of Sender Seats/add-ons during an active billing cycle. Exceptions — Refunds may be considered on a case-by-case basis only in exceptional circumstances, such as: Technical service outages or failures preventing reasonable use of the Service for an extended period (subject to our discretion and proof of impact). As required by consumer protection laws in your jurisdiction (e.g., statutory cooling-off periods for certain EU/EEA residents, typically 14 days from purchase if no substantial use has occurred). To request a refund (where eligible), submit a written request to support@sendcopy.ai within 7 days of the charge or issue, including a detailed explanation and any supporting evidence. We will review requests promptly but are not obligated to grant them. Any approved refund will be processed to the original payment method within a reasonable time (typically 5–10 business days). Credits for removed licenses/Sender Seats (if any) are non-refundable, non-transferable, have no cash value, and expire upon Subscription cancellation. You acknowledge that the Service is a digital service, and access is immediate upon payment. By using the Service after purchase, you waive any right to claim a refund for dissatisfaction with performance, results, or LinkedIn-related outcomes.

7. Intellectual Property Rights

We (and our licensors) own all right, title, and interest in the Service, including software, AI models, documentation, trademarks, and aggregates (excluding your User Content). You receive no ownership interest. Subject to these Terms, we grant the limited license in Section 2. You must not copy, modify, distribute, reverse engineer, or create derivatives of the Service. Feedback you provide is assigned to us royalty-free for use/improvement.

8. Disclaimers and Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR UNINTERRUPTED OPERATION. WE DISCLAIM LIABILITY FOR ERRORS, OMISSIONS, VIRUSES, COMPATIBILITY ISSUES, OR CAMPAIGN RESULTS. LINKEDIN INTEGRATION AND SCALING ACROSS SENDER SEATS IS AT YOUR RISK; WE MAKE NO GUARANTEES OF DELIVERABILITY, SAFETY, OR COMPLIANCE. SOME JURISDICTIONS DO NOT ALLOW DISCLAIMERS, SO THIS MAY NOT APPLY TO YOU.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL WE BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES (INCLUDING LOST PROFITS, DATA, GOODWILL, OR USE), EVEN IF ADVISED OF POSSIBILITY. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM. THIS LIMITATION APPLIES TO CLAIMS FROM BREACHES, NEGLIGENCE, OR THIRD-PARTY ACTIONS (E.G., LINKEDIN BANS).

10. Indemnification

You agree to indemnify, defend, and hold harmless us, our affiliates, officers, directors, employees, and agents from any claims, losses, damages, liabilities, costs, or expenses (including reasonable attorneys' fees) arising from: (i) your User Content or use of the Service; (ii) violations of the Agreement, laws, or LinkedIn Rules; (iii) infringement of third-party rights; or (iv) your negligence or willful misconduct. We reserve the right to assume defense/control at your expense.

11. Termination

11.1 By Us

We may suspend or terminate your access immediately for: (i) AUP/Agreement violations; (ii) payment issues; (iii) security risks; or (iv) at our discretion with notice. No refunds for terminations due to misconduct.

11.2 Effects of Termination

Upon termination: (i) licenses cease; (ii) you lose access, including to Sender Seats; (iii) we may delete data (export available pre-termination); (iv) accrued obligations survive (e.g., payments, indemnities).

12. Governing Law and Dispute Resolution

These Terms are governed by the laws of the United Arab Emirates (Dubai International Financial Centre where applicable), without regard to conflicts of law. Any disputes shall be resolved exclusively in the courts of Dubai, UAE. You waive jury trials and agree to venue. For informal resolution, contact support@sendcopy.ai. We encourage good-faith negotiation before litigation.

13. Miscellaneous

Entire Agreement: These Terms constitute the full agreement, superseding priors.
Severability: Invalid provisions do not affect others.
No Waiver: Delay in enforcement is not waiver.
Assignment: You may not assign without consent; we may.
Force Majeure: No liability for delays from uncontrollable events.
Export Controls: Comply with applicable export laws.
Beta Features: Experimental; no warranties, potential early termination.
