SendCopy.ai — Cloud Spike Cloud Service LLC

Important Notice — Please Read Carefully
These Terms of Service (the "Terms") constitute a legally binding agreement between you (the "User", "you", or "your") and Twitty Digital Marketing LLC ("we", "us", or "our"), the operator of Sendcopy.ai.
By accessing or using Sendcopy.ai or any of our LinkedIn Outreach & Automation Tool, you agree to be bound by these Terms.
If you are using the Service on behalf of a company or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms.
If you do not agree to these Terms, you must not access or use the Service.
ATTENTION: PLEASE READ THESE TERMS OF SERVICE CAREFULLY BEFORE USING THE PINKBOUNCE SERVICE. BY ACCESSING OR USING THE SERVICE, YOU AGREE TO BE LEGALLY BOUND BY THESE TERMS AND ALL TERMS INCORPORATED HEREIN BY REFERENCE.
Section 1
Definitions
- “Customer Data”
- any data submitted to the Services by or on behalf of the Customer, including LinkedIn account data, prospect/lead lists, and outreach message content.
- “Documentation”
- the technical user documentation made available for the Services.
- “Permitted User”
- an employee or authorized contractor of the Customer who accesses the Services on the Customer's behalf.
- “Services”
- SendCopy's proprietary AI-powered LinkedIn outreach SaaS platform, including all related features, tools, and integrations.
- “Subscription Term”
- the period during which the Customer has a paid or trial subscription.
- “Trial”
- the free trial period offered to new Customers as described in Section 7.4.
- “Third-Party Platform”
- any external software or service that integrates with or is accessed through the Services.
Section 2
Provider Services
2.1 Provision of Services
SendCopy provides an AI-driven LinkedIn outreach platform for automating, personalizing, and managing LinkedIn prospecting campaigns.
2.2 Access to Services
Access is strictly limited to Permitted Users. The Customer remains solely responsible for maintaining the security of all login credentials associated with their account.
2.3 General Restrictions
The Customer shall not resell, reverse engineer, send spam, circumvent LinkedIn's service terms, or distribute malicious code through the platform.
2.4 LinkedIn Account Risk
Customer acknowledges and accepts the inherent risk of LinkedIn account warning, restriction, or suspension when utilizing automated outreach platforms. Provider is not liable for actions taken by LinkedIn against Customer accounts.
Section 3
Customer Data
3.1 Ownership
Customer retains all rights, title, and interest in and to Customer Data. Customer grants SendCopy a limited, non-exclusive license to process, store, and transmit Customer Data solely to provide the Services.
3.2 Customer Responsibility
Customer is solely responsible for data accuracy, legal compliance, and securing necessary consents to collect, input, and utilize Customer Data with the platform.
3.3 No Sensitive Data
Customer shall not upload sensitive data, including but not limited to health records, financial payment cards, or government-issued IDs, to the platform.
Section 4
Security
SendCopy implements commercially reasonable administrative, physical, and technical measures designed to protect the confidentiality, integrity, and availability of Customer Data and defend against unauthorized access or disclosure.
Section 5
Third-Party Integrations
The Services integrate with LinkedIn and may support other future integrations. SendCopy is not responsible for third-party platform availability, API changes, modifications to terms, or any data practices governed by external third-party platforms.
Section 6
Ownership & Intellectual Property
All proprietary rights, title, and intellectual property interests in the Services, platform infrastructure, algorithms, and technical Documentation belong exclusively to Cloud Spike Cloud Service LLC.
Section 7
Subscription, Fees, Payment & Refund Policy
7.1 Recurring Billing & Auto-Renewal
Services are billed on a subscription basis, auto-renewing at the end of each billing cycle unless terminated or cancelled by the Customer.
7.2 Pricing & Processing
Pricing details are published at sendcopy.ai/pricing. All transactions are securely processed through Stripe.
7.3 Cancellation Policy
You can cancel your subscription at any time. No refunds will be provided for the current active billing period.
7.4 7-day free trial
We offer a 7-day free trial to new Customers. A credit card is required to initiate the trial, and automatic billing begins upon trial expiration.
7.5 Refund Rules
Subscriptions are non-refundable except in proven cases of material service non-conformity (with a 7-day reporting window) or clear billing errors. Refund requests should be emailed to [email protected].
7.6 Late Payment & Suspension
Failure to clear fees on time may result in temporary account suspension or termination of Services.
Section 8
Term & Termination
8.1 Cure Period
Either party may terminate this Agreement if the other party commits a material breach and fails to cure such breach within 30 days of receiving written notice.
8.2 Data Retention
Following termination, SendCopy will retain Customer Data for up to 30 days before permanent deletion from active servers.
8.3 Survival
Ownership, Indemnification, Confidentiality, Limitation of Liability, and Governing Law sections survive any termination of this Agreement.
Section 9
Limited Warranty
SendCopy warrants that the platform will operate in substantial conformity with its Documentation. EXCEPT AS EXPRESSLY PROVIDED, THE SERVICES ARE SUPPLIED "AS IS" AND "AS AVAILABLE." PROVIDER GIVES NO ABSOLUTE GUARANTEES RELATING TO SPECIFIC OUTREACH RESULTS, ACCOUNT STATUS, OR LEAD ACQUISITION PERFORMANCE.
Section 10
Availability & Support
We employ commercially reasonable efforts to maximize platform uptime and maintain reliable services. Support inquiries, technical issues, and billing reports can be sent to [email protected].
Section 11
Limitation of Liability
IN NO EVENT SHALL PROVIDER BE LIABLE FOR INDIRECT, SPECIAL, OR CONSEQUENTIAL DAMAGES. PROVIDER'S TOTAL AGGREGATE LIABILITY ARISING UNDER THIS AGREEMENT IS STRICTLY CAPPED AT THE FEES PAID BY CUSTOMER IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY.
Section 12
Indemnification
12.1 By SendCopy
Provider will defend Customer against third-party claims asserting that the platform violates or infringes intellectual property rights.
12.2 By Customer
Customer will indemnify and hold harmless Provider against claims arising from Customer Data, outreach campaign behaviors, or violation of this Agreement.
Section 13
Confidential Information
Both parties agree to protect proprietary, non-public details disclosed under this Agreement, utilizing the same level of care used for their own sensitive details. Confidentiality obligations survive for three (3) years after termination.
Section 14
Publicity
SendCopy may only reference Customer's corporate name and logo in marketing catalogs or client directories upon securing written consent from Customer.
Section 15
General Terms
15.1 Governing Law
This Agreement is governed by the laws of the United Arab Emirates, and any disputes fall under the exclusive jurisdiction of the Dubai courts.
15.2 Modifications
We reserves the right to modify these terms. Continued utilization of the Services post-notification constitutes acceptance of updated terms.
15.3 Assignment
Neither party can assign or transfer rights without prior written consent, except in connection with corporate mergers or acquisitions.
15.4 Severability
If any portion of this Agreement is held invalid, the remainder remains in full effect.
15.5 Entire Agreement
This Agreement contains the complete and exclusive understanding between the parties, superseding all prior oral or written agreements.
